PROFILE

Ms. Guo is an expert on private equity, fund raising, investment management, mergers and acquisitions, securities laws, fund financing and general corporate matters. Ms. Guo has extensive experience representing public and private companies, private equity firms, financial and investment banks in various complex corporate transactions, including domestic and cross-border mergers, acquisitions, restructurings, banking and credit financing. She also represents both public companies and underwriters in a variety of debt and equity offerings. In addition, she regularly advises public company clients on general corporate laws and SEC filings.

EXPERIENCE

After graduating from University of Pennsylvania Law School, Ms. Guo joined the New York office of the world-leading law firm Simpson Thacher & Bartlett LLP in 2009 while she represented high-profile private fund sponsors (such as Carlyle, Blackstone and KKR) in fund structuring, formation, marketing and financing of private investment funds.
Ms. Guo also regularly represented major international organizations (such as IFC and IAIC) in equity investments and represented major banks (such as JPMorgan, Standard Charter and TD Bank) on fund financing.
In 2013, Ms. Guo joined Blackstone/GSO’s legal department as an in-house counsel for secondment. During that time, Ms. Guo reviewed various fund documents, marketing presentations and diligence materials of a series of Blackstone funds, and she coordinated with investor relations, financing and operating departments internally and outside counsel on various fund formations.
In 2017, Ms. Guo joined another prominent law firm Allen & Overy LLP where she was a core member of the firm’s US China Team and key client relationship person in New York for Chinese clients (including the major Chinese and Taiwanese banks, state-owned-enterprises and private companies such as Bank of China, China Construction Bank, CIBC Bank, China Merchant Bank, First Commercial Bank, East West Bank, China Overseas, etc). Ms. Guo regularly advises Chinese clients on general corporate matters.

Represented Carlyle in the formation of its $3.5 billion flagship buyout fund in Asia Carlyle Asia Partners IV, its $2.34 billion real estate flagship fund Carlyle Realty Partners VII, its first open-ended real estate fund Carlyle Property Investors and its $10 billion flagship US buyout fund Carlyle Partners VI.
Represented Blackstone in the formation of its alternative investing platform, Blackstone Tactical Opportunities.
Represented Blackstone/GSO in the formation of several separately managed accounts and a fund-of-one hedge fund.
Represented Waterton Precious Metals Fund II and Waterton Mining Parallel Fund on fund management, fund financing and ongoing fund matters.
Represented IJW Whiskey in the formation of a private equity fund to invest in barrels of American whiskey and related infrastructure.
Represented Square Mile, a U.S. real estate private equity sponsor, in the formation of its $800 million real estate fund and $750 million debt fund.
Represented EQT, a leading private equity sponsor in Europe, as its U.S. advisor for various fund formations.

Regularly advised Inter-American Investment Corporation on its equity investments or co-investments in a number of private funds, including Riverwood Capital Partners, Vinci Impact and Return IV, VPC Investor Fund and Valor Capital Fund, etc.
Regularly advised International Finance Corporation (IFC) on its equity investments or co-investments in private funds, including Australis Partners Fund, African Development Partners II and VPC Investor Fund, etc.
Represented Arab Petroleum Investments Corporation in its equity investment in Global Infrastructure Partners Emerging Markets Fund I.
Represented IFC on several purchases and sales of its limited partnership interests in private equity funds on secondary markets.  
Represented FDF Asset Management, a family office in Singapore, in its fund structure and fund management.
Represented AMC in connection with purchase of limited partnership interest on second markets.  

Fund Financing

Represented Bank of China on its participation in the syndication of the revolving subscription credit facility to
Blackstone Real Estate Partners IX and GSO Energy Select Opportunities Fund II.
Represented Northstar Fund VII, a U.S. mid-market private equity sponsor, in its revolving subscription credit facility from CIBC Bank.
Represented Bangkok Bank as US counsel on the revolving subscription credit facilities to North Haven Thai Private Equity.
Represented Standard Chartered Bank on its term loan subscription credit facilities to ICG Augusta Partners LP.
Represented Deutsche Bank as fund counsel on diligence of a number of subscription line credit facilities.

Private Equity, Joint Ventures

Represented the financial sponsors on the equity structure of the $8.5 billion financing, construction, operation, and maintenance of the redevelopment of Terminal 1 at JFK airport.
Represented JPMorgan Asset Management on the transfer of (i) its whole funds platform in India Property Funds to Apollo Asia Real Estate Management and (ii) its whole AIRRO funds platform to The Rohatyn Group.
Represented Daelim Industrial, a Korean construction and petrochemical company, in connection with its JV with PTTGC in relation to the joint development and operation of a US petrochemical complex project in the State of Ohio.
Represented Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden N.V. in connection with both of its original equity investment and subsequent increase of an aggregate 15% ordinary equity investment in Sudameris Bank S.A.E.C.A., a Paraguayan chartered bank.

Regularly advised Bank of China on bilateral credit facilities, loan participation and general corporate matters.
Regularly advised ICBC NY on bilateral credit facilities, loan participation and general corporate matters.
Regularly advised China Construction Bank on bilateral credit facilities, loan participation and general corporate matters.
Main contact person for China Merchant Bank and China Communications Bank for acquisition finance and general corporate matters.
Represented a major Taiwanese bank in setting up its Houston branch in the US.
Advised First Commercial Bank, a Taiwanese bank, with respect to certain anti-money laundering and BSA compliance matters.

Represented China Overseas America, the US subsidiary of China State Construction Overseas Development Co., Ltd., on general corporate matters.
Represented the US subsidiary of Beijing Capital Development Holding (Group), the real estate development enterprise owned by the Beijing municipal government, in its investment in developing a commercial real estate property in Manhattan.
Advised Cainiao, the logistics arm of Alibaba, in a potential purchase of warehouse in the US.
